Primas Law assists management team in the acquisition of Johnson Tiles from Norcros plc

We’re pleased to announce Primas Law has acted for the management team of ceramic floor and wall tile designers, manufacturers and importers, Johnson’s Tiles from its listed owner, Norcros plc for an undisclosed sum.

The change of ownership represents a new and exciting era for Johnson’s Tiles, which has had a presence in Stoke-on-Trent since the early 1900s.

The new ownership involves the closure of the tile manufacturing production line and a transition to an entirely outsourced business model which will involve a larger stock holding to help maintain high levels of customer service. This new model will continue to employ over 100 of the existing staff and support the firm’s growth for decades to come.

We worked closely with the seller’s legal team to achieve the transition of the division between the buyer and the seller as seamlessly and as quickly as possible with the least amount of impact to ongoing business.

Barney Leaf, Corporate Partner at Primas Law, who led the transaction on the buyers behalf, said:

“This transaction is an excellent example of the high quality of work and effective service delivery that Primas provides to its clients.

“Our corporate, property, employment and intellectual property departments had to efficiently coordinate and work together, alongside our client, to achieve the ambitious challenge of exchanging the purchase contract in under one month from being instructed which was achieved to the satisfaction of the buyer and the seller.

“Another important aspect of this transaction was our work with the seller’s legal team at DWF. We were able to collaborate within a tight timeframe to come to a mutually beneficial conclusion for all parties; a fantastic example of legal teams coming together to successfully achieve their clients’ shared outcomes.

“We’re proud to have been involved in what we’re confident will be an exciting new chapter for Johnson’s Tiles, and look forward to seeing what they do next.”

The team included; Barney Leaf, John McDermott (Corporate) Yasar Kaushal (Property), David Walton (Employment) and Rory O’Hare (Intellectual Property).

Stephen Dixon, Managing Director at Johnsons Tiles, said:

“Given the tight timeframe for completing the matter, we needed a law firm that would be able to work well with the management team and provide practical solutions to the problems that arose.

The full Primas team worked very closely with us, and we were grateful to have their legal counsel every step of the way. This ensured we not only had the space to make the important legal decisions but also that there was minimal disruption to our ongoing operations.”
